Learner Terms of Service
These Terms govern your Capital Academy account, your access to classes, certifications and exams, your use of CAPA, and every purchase you make on the platform, including our no-refund policy. Please read them carefully.
Effective: 1 August 2026Last updated: 1 August 2026
Language
This document is published in several languages for your convenience. The English version is the legally binding version. Where a translation differs from the English text, the English text prevails.
1. Introduction and who we are
Welcome to Capital Academy.
The Capital Academy platform is operated by Capital Academy Tech Ltd., a company incorporated in the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates, under DIFC Licence No. CL9551, with its registered office at Gate Avenue, Level 1, DIFC, Dubai, UAE ("Capital Academy", "we", "us", "our").
These Learner Terms of Service (the "Terms") form a legally binding agreement between Capital Academy and you, the individual who creates an account or otherwise uses our services ("you", "your", the "Learner").
The Terms govern your access to and use of capitalacademy.ai, our learning platform and learner dashboard, CAPA (our proprietary AI learning assistant), classes, bundles, certifications, assessments and final exams, certificates and digital credentials, streamed and downloadable learning materials, interactive books, podcasts, flashcards, expert content, and any mobile or partner application we may make available (together, the "Platform").
By creating an account, enrolling in a class, purchasing a plan or add-on, sitting an assessment, using CAPA, or otherwise accessing the Platform, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1.2 Learners enrolled through an organisation
Where your access is provided by an employer, university, government entity or other organisation under a separate written agreement with Capital Academy, that agreement prevails only to the extent of any inconsistency with these Terms. 3. Acceptance of these Terms
3.1 When the agreement is formed
These Terms become legally binding on you when you first do any of the following:
- create a Capital Academy Account
- enrol in, or purchase, a Class, Bundle or Certification
- subscribe to a Plan or purchase an Add-On
- access any restricted area of the Platform
- start an Assessment or Final Exam
- use CAPA or any other AI-powered learning service
- otherwise access or use any service governed by these Terms
3.2 Electronic acceptance
You agree that your electronic acceptance of these Terms (including by clicking "I agree", "Create account", "Subscribe", "Purchase" or a similar control) has the same legal effect as a handwritten signature to the fullest extent permitted by applicable law. Our electronic records may be used as evidence that you accepted these Terms.
3.3 Additional programme terms
Certain Certifications, examinations, scholarships, live events, competitions and promotional campaigns are subject to additional published rules. Where they apply, those rules are made available before you participate, form part of your agreement with us, and prevail over these Terms only in relation to that specific programme.
3.4 New services and features
We may introduce new Classes, Certifications, AI capabilities, credentials or Platform features. Unless we expressly state otherwise, those services are also governed by these Terms.
4. Eligibility
4.1 General eligibility
You may use the Platform only if you have the legal capacity to enter into a binding agreement under the laws applicable to you, your use of the Platform is not prohibited by applicable law, and you comply with these Terms and the related policies. We may request reasonable evidence of eligibility.
4.2 Learners aged 18 and over
Individuals who have reached the age of majority in their jurisdiction may create an Account directly. Where local law sets a higher minimum contractual age, that higher age applies.
4.3 Learners under 18
Capital Academy may offer educational services to individuals under 18 through designated youth programmes. A learner under 18 may access eligible services only:
- with verified consent from a parent or legal guardian
- through an authorised school, university or educational institution, or
- through an officially designated Capital Academy youth programme
We may request documentary evidence of parental or guardian consent at any time, and may restrict access to features that are not appropriate for younger learners.
4.4 Restricted jurisdictions
We may restrict or refuse access to the Platform where necessary to comply with applicable laws, sanctions regimes, export control regulations, licensing requirements, court orders or regulatory obligations. Nothing in these Terms obliges us to provide services where doing so would breach applicable law.
4.5 Right to refuse access
We may refuse registration or access where we reasonably believe that false information has been provided, that identity cannot be verified where verification is required, that a previous Account was suspended or terminated for misconduct, that the Platform may be used unlawfully, or that access would expose Capital Academy to legal, regulatory or security risk. Such decisions are made reasonably and, where appropriate, communicated to the applicant.
5. Learner accounts
5.1 Registration
You must create an Account to access most Platform features. During registration you agree to provide accurate, complete and current information, to use your legal name unless we authorise otherwise, to provide a valid email address, and to keep your information up to date. Your name as recorded on your Account is the name that will appear on any Certificate issued to you.
5.2 Accuracy of information
You represent that all information you provide is truthful, accurate and complete, and you must promptly update your Account if material information changes. We may restrict access where we reasonably believe information is inaccurate or misleading.
5.3 One Account per learner
Unless we expressly authorise otherwise in writing:
- you may maintain only one personal Account
- Accounts may not be transferred or sold
- Accounts and login credentials may not be shared with any other person
- you may not create additional Accounts to obtain further free trials, promotional benefits or additional AI usage allowances
Account sharing is a material breach of these Terms and may result in suspension or termination without refund.
5.4 Account security
You are responsible for keeping your login credentials confidential. You agree to choose a strong password, enable additional authentication where available, and notify us immediately at support@capitalacademy.ai of any suspected unauthorised access. We are not responsible for losses resulting from your failure to protect your credentials.
5.5 Suspension
We may temporarily suspend an Account where reasonably necessary to investigate suspected misconduct or academic integrity concerns, protect Platform security, verify identity, prevent fraud, or comply with legal obligations. Where practical, we will tell you the reason for the suspension.
5.6 Closing your Account
You may request closure of your Account at any time. Closing your Account does not automatically cancel an active Plan, does not entitle you to a refund, does not remove records we are legally required to retain, and does not invalidate Certificates already issued to you. The handling of your personal information after closure is governed by our Privacy Policy.
6. Team and organisation accounts
6.1 Seats
Team Plans are sold on a per-seat basis and may be subject to a published minimum number of Seats. Each Seat entitles one named learner to access the Platform under the Team Plan. A Seat may not be used by more than one person at a time.
6.2 Team owners and administrators
The team owner is responsible for the Team Plan, including payment, seat assignment and compliance by team members. The team owner may invite learners to Seats, reassign Seats, and revoke a member's access. Where access is revoked, the affected learner immediately loses access to all courses provided through that Team Plan.
6.3 Reporting
Where your Account is provided through a Team or organisation, authorised administrators may receive reports relating to enrolment, learning progress, completion and certification, subject to applicable law and our Privacy Policy.
6.4 Cancellation of a Team Plan
If a Team Plan is cancelled, all Seats remain active until their individual renewal dates and then expire. No refund or partial refund is issued for the remainder of any billing period, and cancellation cannot be undone. Ending your relationship with the organisation that provided your Seat may end your access to the Platform.
6.5 Enterprise agreements
Enterprise, university, government and reseller arrangements are governed by their own written agreements. Where such an agreement exists, it prevails over these Terms only to the extent of any inconsistency.
7. Identity verification
7.1 Why we verify
We are committed to the integrity of our programmes, examinations and credentials. Identity verification may therefore be required before you sit a Final Exam, receive a Certificate or digital credential, join certain programmes, or access specific Platform features. Requirements vary by Class, Certification, accreditation obligation and applicable law.
7.2 Verification methods
We may verify identity using one or more proportionate methods, including email verification, one-time codes, telephone verification, institutional confirmation, government-issued identity documents, live photograph comparison, or secure third-party identity verification services.
7.3 Biometric verification
Where permitted by law and necessary to protect examination integrity or credential authenticity, we may use biometric technologies such as facial comparison. Where we process biometric information we will request explicit consent where required by law, collect only what is necessary, apply appropriate safeguards, retain the information only for as long as necessary, and process it in accordance with our Privacy Policy.
7.4 If verification is not completed
Failure to complete required verification may prevent you from accessing certain Classes or Certifications, sitting Final Exams, or receiving Certificates and credentials, and may result in the suspension of specific features. No refund is available where you are unable or unwilling to complete a verification step that was published as a requirement.
7.5 Fraudulent verification
Impersonating another individual, submitting false or altered identification, interfering with the verification process, or assisting another person to bypass verification is a material breach of these Terms. It may result in immediate suspension or termination, cancellation of examination results, revocation of Certificates, and any other action reasonably necessary to protect the Platform.
8. Classes, bundles and certifications
8.1 What we provide
Capital Academy provides digital education in finance, investment, capital markets, trading, economics, business, artificial intelligence and related professional disciplines. Our services are delivered as Classes, Bundles, Certifications, Assessments, credentials and AI-supported learning tools. The format, duration, content and availability of each offering are described on the relevant Class, Bundle or Certification page.
8.2 Education only
Capital Academy provides educational services only. Unless expressly stated otherwise in writing, we do not provide financial advisory services, investment management, brokerage, legal advice, tax advice, accounting services, any other regulated professional service, or employment placement. Completing a Class or Certification does not create a professional-client relationship between you and Capital Academy or any of our experts.
8.3 Enrolment
You are enrolled only once registration is complete, any applicable identity verification is satisfied, payment has been successfully processed where applicable, and any published prerequisites are met. We may refuse enrolment where eligibility requirements are not met.
8.4 Prerequisites
Some Classes and Certifications require prior knowledge or completion of prerequisite Classes. It is your responsibility to confirm that you satisfy all published prerequisites before enrolling. We do not guarantee successful completion where prerequisite knowledge is lacking, and lack of prerequisite knowledge is not a ground for a refund.
8.5 Access period
Each purchase grants access only for the period stated at the time of purchase: a subscription billing period, a fixed access window, or another published period. Unless expressly stated, purchases do not grant perpetual or lifetime access. When the access period ends, access to the relevant content, Assessments and associated AI features ends. Certificates validly issued before expiry remain valid unless revoked for cause.
8.6 Content updates
We maintain current, practical content and may update Classes to reflect legal and regulatory developments, market changes, technological innovation, industry practice, academic research, learner feedback and instructional improvements. Such updates do not entitle you to a refund.
8.7 Retiring a Class
We may retire, replace or archive any Class, Bundle or Certification. Where reasonably practicable, learners with active enrolments will be given reasonable notice before access is withdrawn, and we may at our discretion provide continued access for a period, access to an updated version, or an equivalent replacement. Nothing in these Terms obliges us to maintain any Class indefinitely.
9. Learning content and platform features
9.1 Learning formats
Depending on the Class, learning may be delivered through one or more of the following formats:
- cinematic video lessons taught by practising finance professionals
- interactive digital books and reading materials
- audio podcasts and narrated summaries
- flashcards, quizzes and practice exercises
- AI-generated summaries and study aids
- AI tutoring through CAPA, including voice and avatar interaction where enabled
- downloadable resources, templates and guides
- final exams and certification assessments
- live sessions, workshops and expert events where offered
The formats available differ between Classes, and not every format is available in every Class or language.
9.2 AI-generated study aids
Some study aids (including summaries, flashcards, practice quizzes and podcasts) may be generated or assisted by artificial intelligence from the underlying course material. These aids are provided to support your revision. They are subject to the limitations described in section 16 and should be checked against the official course content.
9.3 Recommendations
We may recommend Classes, Certifications, learning pathways or resources based on your completed learning, assessment performance, stated goals, preferences or organisational learning plans. Recommendations support your learning only and are not professional advice.
9.4 Experts and instructors
We may replace or substitute instructors, experts, presenters, guest speakers, AI tutors and AI avatars at any time. A change of instructor is not a material change to a Class unless we expressly state otherwise, and does not entitle you to a refund.
9.5 Languages
The Platform interface is available in several languages, and selected content may be translated. Translated content may differ slightly from the original, may be released at different times, and may not be updated simultaneously. Where a difference of interpretation arises, the English version governs.
9.6 Beta and early-access features
Some features (including certain AI capabilities and features marked as beta, preview, experimental or "coming soon") are made available for testing and evaluation. They are provided on an "as is" basis, may change or be withdrawn without notice, may be unavailable or produce unexpected results, and are not guaranteed to become generally available. Purchase decisions should not be based on features that have not yet been released.
9.7 Availability and maintenance
We aim to keep the Platform available but do not guarantee uninterrupted or error-free access. We may modify, suspend or discontinue features, and may carry out scheduled or emergency maintenance. We will use reasonable efforts to minimise disruption. Temporary interruptions do not entitle you to a refund.
10. Assessments and final exams
10.1 Purpose
Assessments evaluate learning outcomes and protect the integrity of our credentials. Completing the learning materials alone does not entitle you to a Certificate.
10.2 Types of assessment
Assessments may include quizzes, flashcard reviews, practice exercises, written assignments, projects, practical exercises and Final Exams. Assessment methods vary by Class and Certification.
10.3 Examination conditions
You must comply with all examination instructions we issue. Final Exams may be timed, identity-verified, remotely supervised or proctored, and may be monitored or recorded where necessary and permitted by law. Failure to comply with examination requirements may result in disqualification without refund.
10.4 Passing requirements
The number of questions and the passing score are published for each Final Exam. We may amend assessment criteria where reasonably necessary to improve academic quality, maintain standards, comply with accreditation requirements or correct administrative errors. Changes will not normally apply retrospectively to assessments already completed.
10.5 Attempts and additional attempts
The number of included attempts, waiting periods and resit conditions is published for each Class or Certification. Where additional attempts are offered for purchase as an Add-On, they are consumed when an attempt is started, expire with your access period, are not transferable between Classes or learners, and are non-refundable. Where no limit is published, we may set a reasonable limit.
10.6 Technical issues during an assessment
If you experience a genuine technical problem during an online assessment, notify us as soon as reasonably practicable at support@capitalacademy.ai. We may investigate and decide, acting reasonably, whether to grant an additional attempt, reset the assessment or provide another appropriate remedy. A technical issue does not automatically entitle you to an additional attempt or a refund.
11. Academic integrity and the Honor Pledge
11.1 The Honor Pledge
All learners pursuing Capital Academy certifications are required to read, acknowledge and abide by the Capital Academy Honor Pledge in order to receive and maintain certification status. The Honor Pledge is presented in the Platform and forms part of these Terms. Any breach may result in revocation of issued Certificates and restriction from future enrolment.
11.2 Prohibited academic conduct
The following conduct is strictly prohibited:
- plagiarism, or submitting another person's work as your own
- impersonation, collusion or unauthorised collaboration
- contract cheating, or purchasing or selling assignments or examination answers
- sharing, publishing or reselling examination questions or answers
- using unauthorised materials or assistance during a Final Exam
- falsifying learning records, progress or credentials
- using CAPA or any other AI system to complete an assessment where this is not expressly permitted
- attempting to manipulate AI systems to obtain an unfair assessment advantage
- using automated systems, scripts or bots to complete lessons, quizzes or exams
11.3 Investigation
We may investigate suspected academic misconduct. An investigation may include review of assessment submissions, AI interaction logs, examination monitoring records, plagiarism reports, identity verification records, learning progress data and technical logs. Where appropriate, you will be given an opportunity to respond before a final decision is made.
11.4 Outcomes
Where misconduct is established, we may invalidate an assessment result, refuse or revoke a Certificate, restrict access to specific features, suspend or terminate your Account, and decline future enrolment. No refund is payable where access is withdrawn for academic misconduct.
12. Certificates and digital credentials
12.1 Eligibility
We may issue a Certificate or digital credential to a learner who has satisfied all published requirements for the relevant Class or Certification. Depending on the programme these may include completion of all mandatory modules, achievement of the published passing score, completion of required assignments or exercises, successful identity verification, and payment of all applicable fees. We determine whether all completion requirements have been satisfied.
12.2 What a Certificate is and is not
Unless expressly stated otherwise in writing, a Capital Academy Certificate confirms only that you have successfully completed the published educational requirements of the relevant Class or Certification. A Certificate does not:
- constitute a university degree or academic diploma
- confer professional licensure or authorise regulated professional practice
- create membership of any professional body
- guarantee employment, promotion or admission to another institution
- guarantee academic credit
You remain responsible for satisfying any additional requirements imposed by employers, regulators, universities, licensing authorities or professional bodies.
12.3 Co-issued certifications
Certain Certifications are co-issued with the American University in Dubai (AUD) or another Partner Institution. Where this applies, it is stated on the relevant Certification page, and the Certificate may carry the Partner Institution's name or marks. Co-issuance reflects the Partner Institution's involvement in the programme as described on that page and does not confer student status, academic credit or admission rights at that institution unless expressly stated in writing.
12.4 Digital and blockchain-verified credentials
We may issue digital certificates, digital badges, transcripts, records of achievement and blockchain-verified credentials. Where a credential is anchored to a public blockchain, the verification record is designed to be tamper-evident and permanent, and may not be capable of deletion. We publish only the minimum information necessary to verify the credential. You can request that a credential be marked as revoked, but the underlying verification record may persist.
12.5 Certificate content and verification
Certificates may show your name, the Class or Certification title, completion and issue dates, a unique certificate number, a verification code or QR code, an authorised signature, Partner Institution marks and CPD learning hours where applicable. We may maintain an online verification service so employers and institutions can confirm a credential. Verification confirms only that the credential was issued by Capital Academy, remains valid and has not been revoked. It is not an endorsement of the holder, a statement of professional competence beyond the published requirements, or a recommendation for employment or admission.
12.6 Replacements and corrections
You may request a replacement Certificate following a legal name change, an administrative error, or loss or damage to the original. We may require supporting evidence, identity verification and, where applicable, payment of an administrative fee. Where we identify an administrative error (such as a spelling mistake, incorrect date or incorrect programme name), we may correct it and reissue the Certificate. A replacement may carry a revised issue date while preserving the original completion date.
12.7 Suspension and revocation
We may suspend, invalidate or permanently revoke any Certificate or credential obtained through fraud, impersonation, plagiarism, contract cheating, falsified identity, administrative error, material breach of these Terms, or serious violation of the Code of Conduct and Academic Integrity Policy. Where reasonably practicable, you will be informed of the reasons and any available appeal route before permanent revocation. Where a credential is revoked, we may update our verification records to show that it is no longer valid, and we are not required to remove records of revocation where retaining them is necessary to protect the integrity of our certification system or to comply with legal obligations.
13. Continuing Professional Development (CPD)
Certain Classes and Certifications include CPD accreditation. Where a programme is identified as CPD-accredited or CPD-recognised, the following applies.
13.1 Estimated learning hours
We may publish the estimated learning duration for an eligible activity, normally expressed in hours and excluding breaks. Estimated hours are provided for information only.
13.2 Your responsibility
You remain solely responsible for determining how much learning you have completed, whether that learning satisfies the CPD requirements of your employer, regulator, licensing authority or professional body, and how many CPD hours, credits or units you may claim. We do not calculate, approve or guarantee the CPD hours any individual learner may claim, and we do not file or report CPD activities on your behalf unless expressly agreed in writing.
13.3 Recognition
Recognition of learning completed with Capital Academy remains entirely subject to the rules and discretion of the relevant employer, regulator, university or professional body. Unless expressly stated in writing, we do not warrant that any Class will satisfy the CPD requirements of a specific organisation.
14. University and institutional partnerships
14.1 Collaboration
We collaborate with universities, professional bodies, accreditation organisations, employers and government entities to develop, deliver, endorse or certify programmes. Our university partner for co-issued certifications is the American University in Dubai (AUD). The existence of a partnership does not mean that it applies to every Class on the Platform. The relevant Partner Institution is identified on the applicable Class or Certification page.
14.2 Academic credit
Unless expressly stated in writing, completing a Capital Academy programme does not create student status at a Partner Institution, does not automatically confer academic credit, and does not guarantee admission to any other institution. Any academic recognition granted by a Partner Institution is governed exclusively by that institution's own regulations.
14.3 Changes to partnerships
We may establish, modify, suspend or end partnerships at any time. Such changes do not invalidate Certificates lawfully issued before the change takes effect, unless required by law or by the applicable partnership agreement.
15. Appeals
If you believe a decision has been made incorrectly, you may submit a written request for review to support@capitalacademy.ai. Appeals may relate to assessment results, certificate issuance, identity verification decisions, administrative errors or disciplinary decisions.
Unless another period is published for a particular programme, an appeal should be submitted within thirty (30) calendar days of you becoming aware of the decision. Your appeal should include your name and Account details, the relevant Class or Certification, the decision being challenged, your reasons, and any supporting documentation. We may request further information where reasonably necessary.
Appeals are reviewed by appropriately authorised personnel who were not directly involved in the original decision wherever reasonably practicable. Following review we may uphold the original decision, modify it, require additional assessment, issue a corrected Certificate, or provide another appropriate remedy. The outcome will be communicated to you in writing. An appeal is not a refund request and does not create a right to a refund.
16. CAPA and AI-powered services
16.1 What CAPA is
CAPA is Capital Academy's proprietary AI learning assistant. Depending on your entitlements and the Class you are studying, CAPA may be available as AI text tutoring, AI voice tutoring and an AI instructor avatar, and may also power AI-generated summaries, flashcards, practice quizzes, podcasts, translations, intelligent search and learning analytics. AI features vary between Classes, plans, devices and jurisdictions.
16.2 Who can use AI services
Access to AI services depends on your Account status:
- Visitors who are not signed in have no access to AI services.
- Registered learners receive a one-time free trial allowance of AI usage. The trial is granted once per learner for the lifetime of the Account and does not include the AI instructor avatar.
- Learners with an active AI Add-On receive the full AI service, including voice tutoring and the AI instructor avatar, subject to the fair-use allowances in section 16.3.
- AI services are available only within Classes you are entitled to access.
We may change the composition of the free trial and of the AI Add-On, including the features included in each, on reasonable notice.
16.3 Fair use and metering
AI services consume significant computing resources and are therefore subject to fair-use allowances. Text tutoring is metered by number of messages; voice tutoring and avatar sessions are metered by time. Allowances may apply per day, per calendar month, or once for the lifetime of the Account, and the current allowances are shown in your dashboard. When an allowance is exhausted, the relevant AI feature is unavailable until the allowance resets or you upgrade. Individual sessions may also be subject to maximum duration and idle-timeout limits, and only one live voice or avatar session may run at a time per Account. Unused allowances do not roll over and have no cash value.
16.4 Educational scope
CAPA is designed to answer questions about finance, investment and the Capital Academy curriculum. It may decline to answer questions outside that scope, including requests for personal financial, investment, legal, tax or medical guidance. AI services complement, and do not replace, critical thinking, independent research, instructor guidance, professional judgement and the official course materials.
16.5 Limitations of AI
Artificial intelligence has inherent limitations. AI-generated responses may contain inaccuracies or outdated information, omit relevant information, misunderstand your question, produce incomplete or inconsistent explanations, or generate irrelevant output. We do not guarantee that AI-generated information will be accurate, complete, current or suitable for any particular learning objective. You should verify important information against the official course materials and authoritative sources.
16.6 No professional advice
AI-generated responses do not constitute investment, financial, legal, tax, accounting, regulatory, medical or any other regulated professional advice. You must obtain independent professional advice where required.
16.7 Your responsibility
You remain solely responsible for how you interpret and act on AI-generated information, for verifying important information using authoritative sources, and for complying with applicable laws and regulations. We accept no responsibility for decisions made on the basis of AI-generated responses.
16.8 Responsible use
You must use AI services responsibly and lawfully. You must not use them to generate unlawful content, facilitate fraud or academic misconduct, impersonate another person, harass or threaten others, create malicious software, exploit Platform vulnerabilities, circumvent assessment or examination rules, or infringe intellectual property rights.
16.9 No manipulation of AI systems
You must not attempt to manipulate AI behaviour, extract confidential system prompts or model configuration, perform prompt-injection attacks, bypass AI safety controls, reverse engineer or extract our models, use the AI services to build or train a competing model or dataset, or intentionally degrade AI performance, including by automated or high-volume querying. Such attempts may result in immediate suspension or permanent termination of Platform access without refund.
16.10 Conversations and data
We store your AI conversations so that CAPA can maintain context within a Class, so that you can return to earlier sessions, and so that we can operate, secure, moderate and improve the service, including investigating academic integrity concerns. Do not enter sensitive personal information, confidential employer information, credentials or payment details into CAPA. How we handle this data is described in our Privacy Policy and AI Usage and Responsible Use Policy.
16.11 Availability and change
We do not guarantee uninterrupted availability of AI services. AI features may be modified, upgraded, replaced, suspended or withdrawn at any time, and improvements to underlying models may change how the services behave. Temporary interruption or change to AI features does not entitle you to a refund.
16.12 Human oversight
AI supports learning but does not replace human judgement. We encourage you to think critically, challenge AI-generated information, compare responses with the official course materials, consult authoritative references, and seek professional advice where appropriate. Learning remains your responsibility.
17. Payments
17.1 Fees
Classes, Bundles, Certifications, Plans, Add-Ons and certain assessments require payment. Applicable fees are displayed before you confirm a purchase, in the currency shown at checkout. Prices may vary by product, country, currency, promotional campaign and institutional agreement.
17.2 Taxes
Unless expressly stated, prices may exclude applicable taxes. Taxes are calculated where required by law, and you are responsible for any taxes applicable in your jurisdiction.
17.3 Payment processing
Payments are processed by our authorised third-party payment processors. Your use of a payment processor's services is subject to that processor's own terms and privacy notice. Capital Academy does not receive or store your complete payment card details. We may add or change payment processors, and the processors available to you will be identified at checkout.
17.4 Failed payments
Where a payment cannot be successfully processed, we may retry the payment, suspend or restrict access, cancel enrolment, restrict further purchases, or terminate a recurring subscription. We are not responsible for any interruption of access resulting from unsuccessful payment processing.
17.5 Promotions, referrals and affiliate codes
Promotional prices apply only during the promotional period, cannot normally be combined with other offers, and may be withdrawn at any time in respect of purchases not yet completed. Referral, affiliate and campaign codes are subject to their own published terms and to the Capital Academy Influence Network Terms where applicable. We may cancel a discount, reverse a commission or void a purchase where a code is used fraudulently or in breach of its terms.
18. Plans and add-ons
18.1 Plans
We offer recurring individual and team Plans granting access to eligible Classes, Certifications, AI services and Platform features. Benefits, included content and billing cycles vary by Plan and are described on the pricing page and at checkout.
18.2 Add-ons
Add-Ons, such as the AI Add-On or additional exam attempts, extend an active Plan or purchase. Recurring Add-Ons are billed alongside your active Plan and follow the same billing cycle. If the underlying Plan ends, expires or is cancelled, the associated Add-On benefits end at the same time.
18.3 Automatic renewal
Unless otherwise stated, Plans and recurring Add-Ons renew automatically at the end of each billing period. By purchasing a recurring subscription you authorise Capital Academy and its payment provider to charge the applicable fee to your selected payment method until you cancel. Renewal terms are presented during the purchase process, and renewal is charged at the price applicable on the renewal date unless another price was expressly agreed or a promotional price remains valid under its own terms.
18.4 Cancelling auto-renewal
You may cancel auto-renewal at any time before the next billing date from your dashboard, or by contacting support. Cancellation prevents future renewals only. Your subscription remains active until the end of the current billing period, after which access and subscription benefits end. No refund or partial refund is issued for the unused portion of the current billing period.
18.5 Overlapping purchases
Some products overlap: for example, a Class that is already included in a Bundle, Certification or Plan you hold. Where we identify a conflict at checkout we will warn you before you purchase. If you nevertheless complete an overlapping purchase, it is treated as a completed purchase and is not refundable.
18.6 Changes to plans and pricing
We may modify Plans, introduce new plans, discontinue existing plans, and add or remove benefits. We may also change subscription pricing for future billing periods. Where changes materially affect existing subscribers, we will give reasonable advance notice where required by law, and you may cancel auto-renewal before the change takes effect.
19. No refunds
All purchases made through Capital Academy are final. We do not offer refunds. Access continues until the applicable expiry date, even if you cancel a recurring subscription before the end of the current billing period.
19.1 Why purchases are final
Capital Academy supplies digital educational content and AI services that become available immediately after purchase. Because the content is delivered instantly and cannot be returned, all purchases are final and non-refundable once access has been granted, except as set out in section 19.4 or where applicable law requires otherwise. At checkout you may be asked to confirm that you request immediate access and to acknowledge that, where permitted by applicable law, immediate access may affect or remove any statutory right to withdraw from the purchase.
19.2 Circumstances in which no refund is given
Without limiting section 19.1, no refund is given because you:
- changed your mind, or purchased the wrong Class, Bundle, Certification, Plan or Add-On
- no longer wish to continue studying, or do not have time to complete the content
- did not use, or only partly used, what you purchased
- did not complete a Class before your access period expired
- failed an Assessment or Final Exam, or exhausted your exam attempts
- are dissatisfied with your own learning progress
- forgot to cancel a subscription before its renewal date
- no longer have access following suspension or termination for breach of these Terms
- purchased a product that overlaps with content you already hold
- experienced a temporary interruption, change or withdrawal of a Platform or AI feature
19.3 Cancellation is not a refund
Cancelling a subscription stops future renewals. It does not end the current billing period, does not create a right to a refund for the unused portion, and does not entitle you to a credit or extension. Your access continues until the published expiry date of the current period.
19.4 Limited exceptions
We may, at our sole discretion and acting reasonably, provide a remedy in limited exceptional circumstances, such as a duplicate charge for the same purchase, a billing error caused by Capital Academy, or a technical failure that prevented you from obtaining initial access to what you purchased and that could not reasonably be resolved. Where we approve an exception, the remedy may be a refund, account credit, replacement access, an extension of access or another reasonable solution, at our discretion. Approving one exception does not create a precedent or an entitlement to any future remedy. Suspected duplicate charges should be reported to support@capitalacademy.ai as soon as reasonably practicable.
19.5 Statutory rights
Nothing in this section excludes, restricts or limits any mandatory consumer right that cannot lawfully be excluded. Where consumer protection legislation applicable to you provides greater rights than those described here, those statutory rights prevail to the extent required by law. If you believe you are entitled to a statutory remedy, please contact us before initiating a payment dispute.
19.6 Chargebacks and abuse
If you initiate a chargeback or payment dispute after receiving access, we may investigate, suspend your Account and access during the investigation, withhold Certificates not yet issued, recover outstanding fees and reasonable costs where permitted by law, and decline future purchases. We may also refuse requests that involve fraud, abuse of promotional offers, repeated refund requests or material breach of these Terms. Nothing here limits your right to dispute a genuinely unauthorised or fraudulent transaction.
19.7 Effect of a refund
Where a refund or reversal is granted, we may end Platform access, revoke the related enrolment, invalidate any Certificate or credential issued in connection with the refunded purchase, and end associated subscription benefits.
19.8 Enterprise purchases
Refund and cancellation rights for enterprise, university, government and reseller purchases are governed exclusively by the applicable written agreement.
20. Intellectual property and content protection
20.1 Ownership
The Platform and all content made available through it are owned by Capital Academy or its licensors and are protected by copyright, trademark, database, trade secret and other intellectual property laws. Protected material includes, without limitation: Classes and video lessons; interactive books and reading materials; podcasts and audio; assessments and examination questions; case studies, templates and downloadable resources; software, source code, databases and APIs; the CAPA AI system, its models, prompts, workflows and knowledge base; expert and instructor content; AI avatars and synthesised voices; graphics, animations, illustrations, icons and logos; certification names and digital badges; educational methodologies; the Platform design and user interface; translations and documentation.
20.2 Your licence
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform and its content solely for your own personal, non-commercial educational use, for the duration of your access period. This licence transfers no ownership.
20.3 Restrictions
Except where we expressly authorise it in writing, you may not:
- reproduce, copy or distribute Platform content or learning resources
- publicly display or perform Class materials
- record, capture, screenshot or screen-record video lessons or protected materials
- download protected videos, books or documents other than through features we provide for that purpose
- remove or alter copyright, trademark or ownership notices
- modify Platform content or create derivative works
- translate content for commercial purposes
- sell, sublicense, rent or lend Class materials or account access
- upload Platform content to third-party websites, file-sharing services or social platforms
- use Platform content to train, fine-tune or evaluate any artificial intelligence model
- use Platform content to create competing educational products or services
20.4 Content protection
Our video, book and audio content is protected by access tokens, watermarking and other technical content-protection measures. You must not circumvent, disable, interfere with or attempt to defeat those measures, share or reuse access tokens or signed media links, or use tools designed to capture or extract protected content. Circumventing content protection is a material breach of these Terms and may also be unlawful.
20.5 Trademarks
"Capital Academy", "CAPA", our logos, certification names, slogans and other distinctive brand elements are trademarks or proprietary marks of Capital Academy or its licensors. You may not use them in company names, domain names, product names, advertising, social media accounts or promotional materials without our prior written permission. Partner Institution marks, including those of the American University in Dubai, remain the property of their respective owners and may not be used without that owner's permission.
20.6 Copyright complaints
If you believe material available through the Platform infringes your intellectual property rights, send a written notice to support@capitalacademy.ai identifying the copyrighted work, identifying the allegedly infringing material and where it appears, and including your contact details, a statement that you believe the use is unauthorised, and a statement that the information you have provided is accurate. We will investigate and take appropriate action, which may include removing the material.
21. Your content
21.1 Ownership
You retain ownership of the original intellectual property rights in content you create and submit through the Platform.
21.2 Licence to Capital Academy
By submitting User Content, you grant Capital Academy a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, process, analyse, transmit and use that content for the purposes of operating, securing, administering, improving and delivering the Platform, including delivering AI-supported educational services and investigating academic integrity concerns. This licence exists only to run and improve the Platform. We do not sell User Content as standalone content.
21.3 Your warranties
You confirm that your User Content belongs to you or that you have permission to submit it, that it does not infringe third-party rights, and that it is lawful, not defamatory, not misleading and free of malicious software.
21.4 Removal
We may remove User Content that breaches these Terms or applicable law, infringes intellectual property, threatens Platform security, or is abusive, discriminatory, offensive or otherwise inappropriate.
21.5 Feedback
If you send us suggestions, ideas or feedback about the Platform, you agree that we may use them without restriction, obligation or compensation.
22. Community standards and prohibited activities
22.1 Community standards
Where the Platform offers discussion, messaging, reviews, peer learning or other community features, you must communicate professionally and respectfully. You must not harass, bully, discriminate against or threaten others, publish unlawful or offensive material, spam or advertise without permission, impersonate another person, or disclose another person's confidential information. We may moderate community content and remove material that breaches these standards.
22.2 Prohibited activities
Without limiting any other provision of these Terms, you must not:
- share, sell or transfer Account access or Seats
- scrape, crawl or harvest Platform content or learner information
- reverse engineer, decompile or disassemble Platform software or AI models
- interfere with, overload or disrupt Platform operation, including denial-of-service activity
- bypass subscription, entitlement, quota or examination controls
- circumvent content-protection measures or media access tokens
- exploit software vulnerabilities or upload malicious software
- manipulate or attempt to manipulate CAPA or other AI services
- falsify, forge or misrepresent certificates, credentials or identity verification
- use automated systems or bots to complete lessons, assessments or exams
- access the Platform through unauthorised third-party clients or automation
Any such activity is a material breach of these Terms.
23. Suspension and termination
23.1 Suspension
We may temporarily suspend access where reasonably necessary to investigate misconduct or academic integrity concerns, protect Platform security, prevent fraud, verify identity, or comply with legal obligations.
23.2 Termination by us
We may terminate your Account where you materially breach these Terms, commit fraud, repeatedly violate Platform policies, infringe intellectual property rights, endanger Platform security, or fail to pay applicable fees after reasonable notice.
23.3 Termination by you
You may stop using the Platform and close your Account at any time. Closing your Account does not cancel an active subscription, and no refund is payable. See section 19.
23.4 Effect of termination
On termination, Platform access may cease immediately, active subscriptions may end, and no refund is payable except as required by law. Certificates already issued remain valid unless revoked for cause. Provisions intended by their nature to survive termination remain in effect.
24. Privacy and data protection
We process personal information in accordance with our Privacy Policy and applicable data protection law. Depending on the activity, our legal basis may include performance of a contract, compliance with legal obligations, legitimate business interests, or consent where required by law.
Personal information we process may include your account and profile details, identity verification data, learning progress and assessment records, payment records held by our payment provider, technical and device data, and your interactions with CAPA. We implement reasonable technical and organisational safeguards to protect personal information, but no online service can guarantee absolute security.
Our Cookie Policy explains how we use cookies and similar technologies. Privacy requests may be sent to support@capitalacademy.ai.
25. Educational and investment disclaimer
Everything on the Capital Academy platform is provided for education only. Nothing on the Platform is financial, investment, legal or tax advice, or a recommendation to buy or sell any security or financial instrument.
All Classes, Certifications, AI services, assessments, simulations and educational resources are provided solely for educational purposes. Capital Academy does not provide financial advice, investment advice, legal advice, tax advice, accounting advice, brokerage services or regulated investment services.
Nothing available through the Platform constitutes an offer to buy or sell securities, investment research, an investment recommendation, portfolio management, financial planning or regulated financial advice. Case studies, market examples, instruments and figures used in our content are illustrative and may be simplified, historical or hypothetical.
Financial markets involve risk, including the risk of loss of capital. Past performance does not guarantee future results. You remain solely responsible for any decision you make using information obtained through the Platform, and Capital Academy accepts no responsibility for investment decisions made by learners. Seek advice from an appropriately licensed professional in your jurisdiction before acting.
26. Limitation of liability and indemnity
26.1 Provision of the Platform
To the fullest extent permitted by law, the Platform and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Platform will be uninterrupted, secure or error-free, that content will be free of inaccuracies, or that any particular educational, professional or financial outcome will be achieved.
26.2 Limitation of liability
To the fullest extent permitted by law, Capital Academy and its directors, officers, employees, instructors, experts, partners, licensors, contractors and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of profits, business opportunity, goodwill or data, arising from or relating to your use of or inability to use the Platform, any interruption of service, your reliance on educational content or AI-generated responses, or any third-party service.
Our aggregate liability arising out of or relating to these Terms shall not exceed the greater of (a) the total amount you actually paid to Capital Academy in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) the minimum amount required by applicable law.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
26.3 Indemnity
You agree to indemnify, defend and hold harmless Capital Academy, its affiliates, directors, officers, employees, contractors, instructors, licensors and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the Platform, your infringement of third-party rights, your unlawful conduct, or content you submit through the Platform. This obligation survives termination of your Account.
26.4 Third-party services
The Platform integrates third-party services, including payment processing, video delivery, authentication, analytics and communications providers. Those services are governed by their own terms, and we are not responsible for their content, availability or practices.
27. Changes to these Terms
We may update these Terms from time to time to reflect changes in law or regulatory guidance, new products, services or AI capabilities, changes to our commercial model, security or operational improvements, or business developments.
The current version is always published on this page together with its version number and effective date. Unless applicable law requires otherwise, revised Terms take effect when published. Where a change materially affects your rights or obligations, we will give reasonable advance notice, for example by email or an in-platform notice, before it takes effect.
If you continue to use the Platform after revised Terms take effect, you accept them. If you do not accept them, you must stop using the Platform and may cancel auto-renewal of any subscription. Changes do not affect purchases completed before the effective date unless required by law.
28. Governing law and disputes
28.1 Governing law
These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes or claims) are governed by the laws of the Dubai International Financial Centre (DIFC).
28.2 Jurisdiction
The courts of the DIFC have exclusive jurisdiction to settle any such dispute or claim, subject to section 28.4.
28.3 Resolving disputes first
Before starting formal proceedings, both parties agree to try to resolve the dispute in good faith. Either party may notify the other in writing, setting out the nature of the dispute and the outcome sought, and both will make reasonable efforts to resolve it amicably. Where negotiation does not succeed, the parties may agree to refer the dispute to mediation or arbitration where permitted by law; nothing in this section obliges either party to arbitrate.
28.4 Consumer rights
Nothing in this section limits any mandatory consumer right, or your right to bring proceedings in the courts of your country of residence, where such rights cannot lawfully be excluded or restricted under the law applicable to you.
29. General provisions
29.1 Entire agreement
These Terms, together with the documents incorporated by reference in section 1.1, constitute the entire agreement between you and Capital Academy regarding your use of the Platform.
29.2 Severability
If any provision is found to be invalid, illegal or unenforceable, the remaining provisions remain in full force and effect.
29.3 Waiver
Our failure to enforce any provision does not waive that provision or any other.
29.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets or similar transaction.
29.5 Force majeure
We are not liable for any failure or delay in performing our obligations where it results from events beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, pandemics, internet or network failures, hosting or cloud provider outages, power outages, or governmental action.
29.6 Electronic communications
You agree that we may provide notices, disclosures, agreements and other communications electronically, including through the Platform or by email. Electronic communications satisfy any legal requirement that such communications be in writing, where permitted by law.
29.7 Language
These Terms are published in several languages. The English version is the legally binding version and prevails in the event of any inconsistency.
29.8 Survival
The following survive termination to the extent necessary to give them effect: intellectual property and content protection; User Content licences; certificates and credential verification; no refunds; limitation of liability and indemnity; governing law and disputes; and any other provision intended by its nature to survive.
30. Contact us
Questions about these Terms, your Account or the Platform can be sent to our team. We may ask for reasonable information to verify your identity before discussing account-specific matters.
